The Purpose:
Reporting to the Legal Director, the Company Secretary is responsible for delivering high-quality governance services across PPRO’s global structure. You will ensure the Group meets its statutory and regulatory obligations as a private limited company within a complex financial services environment.
By facilitating effective Board operations and maintaining rigorous subsidiary compliance, you act as a critical coordination point between Directors, Executive Management, and cross-functional teams including Legal, Risk, Compliance, and Finance.

Governance is driven by a shareholder-led Advisory Board and a specialized Board, Audit, Risk, and Compliance Committee (BARCC).What you will do: Board & Committee ManagementLead the end-to-end delivery of meetings for the Advisory Board, BARCC, and Regulated BoardsManage the Board Intelligence portal, ensuring papers are accurate, timely, and aligned with governance standards Draft high-quality minutes and proactively track "matters arising" to ensure executive accountability.Corporate Governance & AdvisoryPartner with the Legal Director to advise the Board on best practices and evolving regulatory expectationsOversee the annual governance calendar, Terms of Reference, and Director induction/training programsManage conflicts of interest processes and annual declarations.Subsidiary & Entity OversightCoordinate governance for 20+ international subsidiaries, managing the full lifecycle of entity filings (appointments, resignations, statutory filings such as annual accounts).Maintain the Group structure chart and ensure all statutory books are accurate and up to date.Statutory & Regulatory ComplianceAct as the guardian of corporate records, ensuring strict compliance with the UK Companies Act and relevant international legislationManage the execution of key corporate documents, powers of attorney, and regulatory submissions.Stakeholder Engagement & ProjectsServe as the primary governance contact for Directors and senior stakeholdersSupport strategic projects, including corporate restructurings, share capital changes, or entity rationalisations.What you'll have:Qualifications & KnowledgeEssential: CGI (Chartered Governance Institute) qualified/part-qualified, or a Law degreeTechnical: Deep understanding of the UK Companies Act and corporate governance principlesDesirable: Knowledge of financial services regulations (FCA/CSSF).Experience & SkillsProven experience in a fast-paced Company Secretariat or regulated environmentExceptional minute-taking skills and experience managing Board portalsStrong stakeholder management skills with the ability to influence at the Director levelAbility to apply governance principles in a way that supports the Group and its subsidiaries.
